Terms and Conditions
1. Definitions
In these Terms and Conditions, references to “Fees”, “Deliverables”, “Agreement”, and “Services” shall mean the terms and conditions agreed in writing between DRIPFY UK LTD and the Client.
“Company” refers to DRIPFY UK LTD, registered at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
“Client” refers to any individual or legal entity entering into a contractual relationship with the Company.
2. Term of the Agreement
This Agreement shall enter into force upon written acceptance by both parties.
Unless otherwise agreed in writing, either party may terminate the Agreement by providing 30 (thirty) days’ written notice.
3. Payments
All invoices issued by DRIPFY UK LTD are payable within 30 days from the invoice date, unless otherwise stated.
In the event of late payment, the Company reserves the right to charge statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
The Company may suspend Services until outstanding amounts are settled.
4. Quality of Services
DRIPFY UK LTD undertakes to provide its Services with reasonable skill, care, and professional competence, in compliance with applicable UK laws and regulations.
The Client confirms that they have full legal capacity and authority to enter into this Agreement and to receive the Services.
5. Limitation of Liability
The Company shall only be liable for damages arising from wilful misconduct, gross negligence, or death or personal injury caused by negligence.
DRIPFY UK LTD shall not be liable for:
Indirect or consequential losses
Loss of profits, revenue, or business opportunities
Loss or corruption of data
Nothing in these Terms shall exclude or limit liability where such limitation is not permitted under applicable UK law.
6. Termination and Consequences
Either party may terminate the Agreement with immediate effect in the event of a material breach by the other party.
Upon termination:
All outstanding payments become immediately due
Confidentiality and data protection obligations shall continue to apply indefinitely
7. Subcontracting
DRIPFY UK LTD reserves the right to engage subcontractors or third parties for the performance of Services.
The Company remains fully responsible for the quality and delivery of the Services provided.
8. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with this Agreement.
